PLEASE READ THIS AGREEMENT CAREFULLY AND IN FULL.

1. Acceptance of Terms

These Course License Terms and Enrollment Agreement (the “Course License Terms”) are a binding agreement between you and The Steady Coach, Inc. (“The Steady Coach”) governing your purchase of, access to, and use of What to Do When Your Dizzy Client Walks In (the “Course”) and Course Materials. By clicking “I Agree,” “Purchase,” “Enroll,” or any similar button indicating acceptance, you acknowledge that you have read and agree to be bound by these Course License Terms. If you do not agree to these Course License Terms, you may not purchase, access, or use the Course or Course Materials. You represent that you are at least eighteen (18) years old and have the legal capacity and authority to enter into these Course License Terms. If you are purchasing or accessing the Course on behalf of an entity, you represent that you have authority to bind that entity to these Course License Terms.

2. Course Description

The Course is a self-paced online educational program designed to train professionals regarding chronic dizziness and other chronic symptoms, including The Steady Coach’s approach to understanding and addressing symptoms through brain retraining, neuroplasticity, and neurocircuit-based concepts and methods. The Course is delivered through the Kajabi platform and includes instructional videos, modules, downloadable workbooks that accompany and summarize the video content, questionnaires and other assessment resources, links to third-party resources, and other educational materials made available as part of the Course (collectively, the “Course Materials”). Certain Course Materials may be downloaded and retained by you, while other Course Materials, including the instructional videos, are available only through the Course platform and may not be downloaded. The Course Materials may include medical and scientific terminology, concepts, explanations, research, citations, questionnaires, and other information relevant to the subject matter of the Course. The Course is intended for professionals with varying backgrounds, credentials, licenses, certifications, and scopes of practice.

3. Educational Purposes Only

The Course and Course Materials are provided solely for educational and professional development purposes and may discuss medical, scientific, neurological, psychological, rehabilitation, assessment, treatment-related, and other health-related concepts. Medical and scientific information included in the Course is based on the sources, research, publications, and other references cited in the Course Materials, which are provided for educational and reference purposes. Because medical and scientific knowledge may change over time, the Course is not intended to be exhaustive or to reflect every subsequent development, publication, or professional viewpoint. The Course and Course Materials are not intended to provide individualized medical, mental health, legal, clinical, supervisory, or other professional advice and are not a substitute for your own professional judgment, training, consultation, supervision, or other resources appropriate to your profession. Your purchase of or participation in the Course does not create a physician-patient, therapist-patient, supervisor-supervisee, consultant-client, or other professional relationship between you and The Steady Coach or Dr.  Yonit A. Arthur, or between The Steady Coach or Dr.  Yonit A. Arthur and any of your clients.

4. Professional Responsibility and Scope of Practice

The Course is intended for professionals with different licenses, certifications, credentials, scopes of practice, and legal and ethical obligations. The Steady Coach does not determine whether any concept, assessment, intervention, treatment approach, recommendation, or other practice discussed in the Course is within your professional scope of practice or otherwise appropriate for you to use. You are solely responsible for determining what you are qualified and legally permitted to do and for complying with all applicable laws, licensing requirements, ethical rules, professional standards, supervision requirements, employer requirements, and standards of practice. Completion of the Course does not expand your scope of practice or confer any license, certification, credential, specialization, or authorization to provide professional services, and does not provide continuing education, CME, licensure, or other professional credit unless expressly stated in writing by The Steady Coach.

5. Professional Judgment and Responsibility for Client Services

You are solely responsible for determining whether and how to apply any Course information or Course Materials in your professional practice and with any particular client. You must rely on your own independent professional judgment and remain responsible for all professional decisions and services you provide, including without limitation, assessments, recommendations, interventions, treatment decisions, referrals, informed consent, documentation, follow-up, client safety, and compliance with applicable standards of practice. The Course is not a substitute for individualized evaluation, consultation, supervision, referral, or other professional resources. The Steady Coach does not supervise, approve, direct, or control your professional services and shall not be responsible for any act or omission by you in connection with services you provide to your clients. You may not represent that The Steady Coach or Dr.  Yonit A. Arthur has approved, supervised, recommended, or directed any assessment, treatment, intervention, or other professional service provided to a particular client.

6. Course License and Permitted Use

Subject to your compliance with these Course License Terms, The Steady Coach grants you a limited, personal, nonexclusive, nontransferable, and revocable license to access and use the Course and Course Materials solely for your own educational and permitted professional use. The Steady Coach, Inc. retains all right, title, and interest in and to the Course, Course Materials, and all related intellectual property. No ownership interest or other rights are transferred to you except for the limited rights expressly granted in these Course License Terms.

General Restrictions. Except as expressly permitted in these Course License Terms, you are prohibited from copying, reproducing, recording, screen recording, republishing, uploading, transmitting, modifying, adapting, translating, selling, sublicensing, distributing, sharing, or creating derivative commercial materials from the Course or Course Materials. You are further prohibited from providing Course Materials to other professionals for their use, sharing them with colleagues, posting them publicly or online, uploading them to shared resource libraries, incorporating them into another course, training program, membership, or commercial offering, mass distributing them, or representing them as your own original materials. You are prohibited from removing or altering any copyright, trademark, attribution, citation, or other proprietary notice appearing in the Course Materials.

Prohibited Conduct. You are prohibited from using the Course or Course Materials for any unlawful purpose; sharing account access; circumventing or attempting to circumvent any technological or access restriction; interfering with or disrupting the Course platform; providing false or misleading account or professional information; or using the Course or Course Materials in any manner that infringes the intellectual property or other rights of The Steady Coach or any third party.

Videos and Platform Content. Course videos and other materials designated as non-downloadable may be accessed only through the authorized Course platform. You are prohibited from downloading, recording, screen recording, copying, reproducing, or redistributing such content.

Downloadable Materials. You may download and retain Course Materials that The Steady Coach expressly makes available for download solely for your own educational and professional use. Unless designated as a Client Resource, you are prohibited from sharing downloadable Course Materials with clients or any other person.

Client Resources. Certain Course Materials may be specifically designated by The Steady Coach as resources that may be used with your own clients (“Client Resources”). You may reproduce and provide Client Resources to your own clients solely in connection with your professional services. You remain solely responsible for determining whether and how any Client Resource is appropriate for a particular client. Your license to use Client Resources with your own clients does not permit any other provider, practitioner, employee, contractor, colleague, student, trainee, business, or other person to use the Course or Course Materials for their own purposes. Each professional who wishes to access or use the Course Materials must separately purchase the Course or otherwise obtain express authorization from The Steady Coach.

7. Third-Party Research, Resources, and Links

The Course may include links, citations, references, or other materials from third-party publications, websites, authors, organizations, research, or resources. These materials are provided for educational and reference purposes only and do not constitute an endorsement by The Steady Coach. The Steady Coach does not control third-party materials and is not responsible for their content, accuracy, availability, updates, or applicable terms or policies. No license or other right to use, reproduce, modify, distribute, or otherwise exploit any third-party material is granted under these Course License Terms, and you are responsible for complying with any terms, licenses, or restrictions imposed by the applicable third party.

8. AI, Automated Systems, and Data Use

You are prohibited from using the Course or Course Materials to train, fine-tune, develop, test, or improve any artificial intelligence or machine-learning system; create or populate datasets; generate competing educational or commercial content; or systematically extract, scrape, or compile Course content. You are also prohibited from uploading or submitting substantial portions of the Course or Course Materials to any public, shared, or third-party artificial intelligence platform or automated system.

9. Account Access and Technology

Course Platform. The Course is currently hosted through Kajabi, a third-party platform not controlled by The Steady Coach. Your use of Kajabi may also be subject to Kajabi’s applicable terms and policies. The Steady Coach does not guarantee uninterrupted availability or operation of Kajabi and may move the Course to another platform at any time.

Account Registration. You must create and use your own account to access the Course and provide accurate and current information, which may include your name, email address, profession, credentials, or similar information. You are prohibited from impersonating another person or providing false or misleading information.

Account Security. Your login credentials are personal to you and may not be shared. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You must promptly notify The Steady Coach of any suspected unauthorized access or use. The Steady Coach may suspend or restrict access if it reasonably suspects account sharing or other unauthorized use.

Technology Requirements. You are responsible for maintaining the devices, internet access, browser, software, email account, updates, and other technology necessary to access and use the Course. The Steady Coach is not responsible for access problems caused by your equipment, internet service, software, or device compatibility.

10. Technical Support

Technical support for the Course is available at practitioners@thesteadycoach.com and is limited to account access, technical issues, and Course functionality. Technical support does not include clinical or client-specific questions, scope-of-practice advice, professional consultation, or individualized interpretation or application of Course content.

11. Course Access, Updates and Availability

Your purchase includes lifetime access to the Course for so long as The Steady Coach continues to make the Course available. The Steady Coach may revise, update, replace, add, or remove Course content from time to time, including to reflect changes in science, research, methodology, technology, or presentation. The Steady Coach may also change the platform or technology used to deliver the Course and does not guarantee continued access to any prior version of the Course or Course Materials. Access to the Course may occasionally be interrupted by maintenance, platform outages, internet disruptions, third-party service failures, or other technical issues. The Steady Coach does not guarantee uninterrupted or error-free access but will use reasonable efforts to restore access when appropriate.

12. No Guaranteed Results

The Steady Coach does not guarantee any particular result from your purchase, participation in, or use of the Course or Course Materials, including any client, professional, clinical, or business outcome. Completion of the Course does not guarantee competency, certification, licensure, expansion of your scope of practice, success using any method or approach discussed in the Course, or acceptance or approval by any licensing board, credentialing body, payer, employer, professional organization, or other third party.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COURSE AND COURSE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Steady Coach does not warrant that the Course or Course Materials will meet your particular needs; be uninterrupted or error-free; remain complete or current; or be appropriate for any particular profession, practice setting, jurisdiction, client, condition, or population. The Steady Coach does not represent or warrant that the Course or Course Materials satisfy any healthcare, professional-services, licensing, regulatory, ethical, payer, credentialing, employer, or other requirements applicable to you or your practice, or that use of the Course Materials will satisfy any applicable standard of care.

The Steady Coach further does not warrant that any assessment, questionnaire, technique, intervention, method, resource, or approach discussed or referenced in the Course is appropriate, effective, validated, approved, or suitable for any particular client, condition, population, or intended use. Medical, scientific, and professional information may change over time, and The Steady Coach does not warrant that any cited research, publication, third-party resource, or other referenced material is complete, current, error-free, or universally accepted.

The Steady Coach also makes no warranty regarding the availability, reliability, security, or performance of Kajabi or any other third-party platform, website, resource, product, or service used or referenced in connection with the Course.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE STEADY COACH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE COURSE, COURSE MATERIALS, THESE COURSE LICENSE TERMS, OR YOUR USE OF COURSE INFORMATION OR MATERIALS IN YOUR PROFESSIONAL PRACTICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE STEADY COACH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE COURSE, COURSE MATERIALS, OR THESE COURSE LICENSE TERMS, UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO THE STEADY COACH FOR THE COURSE.

15. Indemnification

You agree to indemnify, defend, and hold harmless The Steady Coach, Inc., Dr.  Yonit A. Arthur, and their respective officers, directors, employees, contractors, agents, and representatives from and against any third-party claim, demand, action, proceeding, liability, loss, damage, judgment, cost, or expense, including reasonable attorneys’ fees and costs, arising out of or relating to: (a) your professional services or any act or omission involving your clients; (b) any assessment, diagnosis, treatment, recommendation, intervention, advice, or other professional service provided by you or on your behalf; (c) your use or misuse of the Course or Course Materials; (d) your practice outside your legal or professional scope of practice; (e) your violation of any applicable law, regulation, licensing requirement, ethical rule, or professional standard; (f) your breach of these Course License Terms; (g) any unauthorized copying, reproduction, distribution, sharing, or other misuse of the Course or Course Materials; or (h) any representation you make to a client or third party regarding The Steady Coach, Dr. Yonit A. Arthur, the Course, or the Course Materials. You agree to reasonably cooperate in the defense of any covered claim. You may not settle any claim in a manner that imposes liability, obligations, or admissions on The Steady Coach or Dr. Yonit A. Arthur without The Steady Coach’s prior written consent. This indemnification obligation does not apply to the extent a claim arises from The Steady Coach’s own gross negligence or willful misconduct.

16. Suspension and Termination

The Steady Coach may suspend or terminate your access to the Course, without refund, if you breach these Course License Terms, fail to make required payment, initiate an improper chargeback, share account access, misuse or improperly distribute Course Materials, provide fraudulent or misleading information, engage in unlawful use, attempt to circumvent access restrictions, or otherwise materially misuse the Course. Upon termination, you must immediately stop accessing the Course and cease any use of Course Materials not expressly permitted to continue under these Course License Terms. Payment obligations, intellectual property ownership and restrictions, license and Client Resource restrictions, warranty disclaimers, limitations of liability, indemnification obligations, dispute provisions, and any other provisions that by their nature should survive termination will remain in effect.

17. No Agency, Supervision, Employment, or Professional Affiliation

Your purchase of, access to, or participation in the Course does not create any employment, agency, partnership, joint venture, franchise, supervisory, consulting, professional affiliation, provider-patient, or other professional relationship between you and The Steady Coach or Dr.  Yonit A. Arthur. You are prohibited from representing that you are employed by, affiliated with, endorsed by, or certified by The Steady Coach or Dr.  Yonit A. Arthur unless expressly authorized in writing. You may not use The Steady Coach’s or Dr.  Yonit A. Arthur’s name, trademarks, logos, or branding to market or promote your professional services without prior written permission.

18. Miscellaneous

Governing Law and Venue. These Course License Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any action arising out of or relating to the Course or these Course License Terms must be brought exclusively in the state courts located in Seminole County, Florida, or, if federal jurisdiction exists, the United States District Court for the Middle District of Florida, Orlando Division.

Attorneys’ Fees. In any dispute arising out of or relating to these Course License Terms, the prevailing party is entitled to recover its reasonable attorneys’ fees, costs, and expenses, including those incurred before suit and in trial, appellate, and post-judgment proceedings.

Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE STEADY COACH EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THE COURSE OR THESE COURSE LICENSE TERMS.

Entire Agreement. These Course License Terms constitute the entire agreement between you and The Steady Coach concerning your purchase of, access to, and use of the Course and Course Materials and supersede all prior or contemporaneous communications, representations, and understandings concerning those matters. Marketing materials, free resources, social media content, webinars, emails, and other promotional or educational materials do not modify these Course License Terms unless expressly incorporated into them.

Modification of Terms. The Steady Coach may update these Course License Terms from time to time on a prospective basis. Material changes will apply to future purchases or continued access as permitted by law and will not retroactively alter obligations relating to a completed purchase unless agreed by you or otherwise permitted by law. These Course License Terms may not be modified orally by any employee, contractor, or representative of The Steady Coach.

Severability. If any provision of these Course License Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Waiver. A party’s failure to enforce any provision of these Course License Terms does not waive that party’s right to enforce that provision or any other provision in the future. Any waiver must be in writing to be effective.

Assignment. You may not assign or transfer these Course License Terms or any rights granted under them without The Steady Coach’s prior written consent.

No Third-Party Beneficiaries. These Course License Terms are for the sole benefit of you and The Steady Coach and do not create any rights or remedies in favor of any third party.

Interpretation and Headings. These Course License Terms will not be construed against either party as the drafter. Headings are for convenience only and do not affect interpretation.

19. Electronic Acceptance

By clicking “I Agree,” “Purchase,” “Enroll,” or any similar button indicating acceptance, you electronically sign and agree to be bound by these Course License Terms. Your electronic acceptance has the same legal effect as a handwritten signature. The Steady Coach may maintain electronic records of your acceptance, including the date, time, and related transaction or account information, as evidence of your agreement to these Course License Terms.
